Terms of Service
Last drafted: 2026-10-23. Effective date: [TO BE SET WHEN APPROVED].
These Terms of Service ("Terms") are the contract between you ("Customer") and [LEGAL ENTITY NAME, JURISDICTION AND ADDRESS: TO CONFIRM] ("Mad Hare", "we", "us") for paid services ordered from us. Our Terms of Use cover the websites. If the two conflict on a paid service, these Terms win.
1. The service at launch: Overnight Queue Pilot
At launch we sell one service, the Overnight Queue Pilot (the "Pilot"). It is delivered by us, not through a self-serve product. Order details are on your order page and in the intake form, and they are part of these Terms.
| Item | Founding Pilot (first five customers) |
|---|---|
| Scope | Up to 8 GitHub issues, worked over 5 nights |
| Price | USD 990, one time, paid before work starts |
| Included model spend | USD 200 of metered API use, hard-capped |
| After the founding offer | USD 1,490, with USD 250 of included model spend |
[PRICES AND OFFER LIMITS ARE ANDREW'S DECISION AND ARE NOT FINAL.]
What we do for each accepted issue:
- Work with you in a scoping call to choose issues that fit. We may reject or split an issue that will not fit within the turn limit (100 turns per issue).
- Build the change in an isolated branch, using AI agents, with at most two running at once.
- Have the change checked by a separate test and documentation pass and by a second AI model from a different provider than the builder.
- Open a pull request in your repository. We never push to your protected branches. You decide what to merge.
- Send a morning receipt for each night: pull requests opened, turns used, model spend against the cap, review verdicts, and anything that stopped and why.
- Hold a close-out call at the end of the week.
2. Access to your repository
You give us access through a Mad Hare GitHub App, or a dedicated machine user, limited to the repositories you name and to pull-request permissions. We do not accept personal access tokens. You can remove access at any time by uninstalling the App. We stop using access when the Pilot ends and remove our copies as set out in the Privacy Policy.
3. Your responsibilities
You will:
- own or have the right to give us access to the repository and the issues;
- keep secrets, health data, payment card data and government identifiers out of the repository and issues, or tell us before the scoping call;
- have a working test or CI command we can run;
- review every pull request before merging. You are responsible for what you merge and deploy.
4. AI output
The Pilot uses AI models. Their output can be wrong, incomplete, insecure, or similar to existing code or open-source code. Our checks reduce these risks. They do not remove them. We do not promise that any pull request is correct, secure, fit for your purpose, or free of third-party rights. Our tests and reviews are evidence for your decision, not a replacement for it.
5. Model providers and spend
We run Pilot work through commercial API accounts that belong to Mad Hare, with a separate key or project per customer and a provider-side spending limit set to your cap. We do not run customer work through personal or consumer subscriptions. When a run reaches the cap it stops and the receipt says so. We never spend past the included amount without your written approval. A top-up is billed at our cost plus 15%. If you ask for it on the call, you can supply your own API key. Then the Pilot price is lower, and the spend is on your account.
6. Fees, refunds and taxes
Fees are due before work starts. If we have not delivered a pull request by the end of night 3, you may ask for a full refund of the Pilot fee. Unused included model spend is not paid out in cash. We may credit it against a follow-on order. Fees exclude taxes. We will add sales tax or VAT where the law requires it. Payments are handled by our payment processor. We do not see or store your full card number.
7. Ownership
Code we deliver in a pull request for you is assigned to you when we receive payment, apart from third-party and open-source components, which stay under their own licences. We keep our tools, prompts, methods, process templates and know-how, and the receipts' format. We do not claim rights in your repository. You give us the right to use your materials only to perform the Pilot.
8. Confidentiality
Each side will keep the other's non-public information confidential, use it only for the Pilot, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or required by law to be disclosed. We will sign your mutual NDA on request.
9. Data and training
How we handle personal data is in the Privacy Policy. For the Pilot:
- we do not use your code, issues or outputs to train or fine-tune models or to build evaluation sets;
- we do not publish them;
- anonymised run statistics (turn counts, spend, verdicts, no code) and a case study are used only if you tick separate opt-ins on the intake form.
[A DATA PROCESSING ADDENDUM WILL BE OFFERED WHERE YOUR REPOSITORY CONTAINS PERSONAL DATA: COUNSEL TO DRAFT.]
10. Availability and support
The Pilot is a hands-on service during the Pilot week, not a hosted product. We give no uptime commitment. A model provider outage can stop a night's run. If that happens we stop safely, say so on the receipt, and resume when the provider recovers. Support is by email at support@madhare.ai, and we aim to reply within one business day. That is a target, not a guarantee.
11. Warranty disclaimer
Except what is stated in these Terms, the Pilot is provided "as is". To the fullest extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement.
12. Limit of liability
To the fullest extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability under these Terms is limited to the fees you paid for the Pilot. Nothing in these Terms limits liability that cannot be limited by law. [INDEMNITIES, CARVE-OUTS AND THE EXACT CAP: COUNSEL TO SET.]
13. Term and ending
The Pilot runs for the scoped week, or until the cap is reached or the scope is done, whichever comes first. Either side may end it earlier by written notice. If you breach these Terms or misuse the access you gave, we may stop work at once. Sections that by their nature should survive do: ownership, confidentiality, liability limits, and payment of fees due.
14. Changes
We may update these Terms. The version in force on the day you place an order applies to that order. Later changes apply to new orders.
15. Governing law and disputes
